Night Agent Terms of Use

Effective Date: August 14, 2026

These Terms of Use ("Terms") are an agreement between you and CedriXSolutions LLC ("CedriXSolutions LLC," "we," "us," or "our") governing your access to and use of the Night Agent website, Night Agent software, licensing services, and related services.

By purchasing, downloading, installing, activating, accessing, or using Night Agent, or otherwise indicating your acceptance of these Terms, you agree to be bound by them.

If you accept these Terms on behalf of a company, employer, government agency, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" and "your" refer to that organization.

If you do not agree to these Terms, do not install, activate, or use Night Agent.

1. License

Night Agent is licensed, not sold.

Subject to these Terms and payment of any applicable fees, a valid Night Agent license grants your organization a limited, non-exclusive, non-transferable, non-sublicensable right to install and use the software for its own authorized internal network operations during the applicable license term.

Your license may be subject to restrictions including:

  • Expiration dates
  • Device limits
  • Installation or activation limits
  • Feature restrictions
  • Trial restrictions
  • Other limits identified at the time of purchase or issuance

The license does not transfer ownership of Night Agent or any intellectual property associated with it.

CedriXSolutions LLC retains all rights not expressly granted under these Terms.

2. Trial Licenses

Trial licenses are provided solely for evaluation purposes.

Trial licenses may:

  • Be time-limited
  • Be feature-limited
  • Limit the number of firewall devices that may be managed
  • Require activation and periodic license validation
  • Stop functioning when the trial period expires or an applicable limit is reached

A trial does not create an obligation for CedriXSolutions LLC to provide continued access, support, updates, or a commercial license.

To the extent permitted by law, we may modify, suspend, or discontinue a trial program. We may also suspend or terminate trial access in cases of abuse, attempted circumvention, fraud, or violation of these Terms.

3. License Validation and Enforcement

Night Agent may periodically communicate with CedriXSolutions LLC' licensing infrastructure to validate licenses, activations, expiration dates, device limits, and other applicable license conditions.

Certain licenses may use pseudonymous machine and device identifiers as described in our Privacy Notice.

CedriXSolutions LLC may disable, suspend, or refuse activation of a license when we reasonably determine that:

  • The license has expired
  • Applicable license limits have been exceeded
  • The license key has been unlawfully copied, shared, altered, or circumvented
  • Payment associated with the license has been reversed, refunded, disputed, or otherwise not completed
  • The license is being used in material violation of these Terms
  • The licensing system is being intentionally manipulated or abused

License validation does not authorize CedriXSolutions LLC to access your firewall credentials, configurations, backups, logs, or other locally stored network information.

4. Restrictions

Except where applicable law expressly permits otherwise, you may not:

  • Redistribute, resell, rent, lease, sublicense, or transfer Night Agent to another organization
  • Offer Night Agent itself as a hosted service or software-as-a-service product for third parties
  • Reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive the source code of Night Agent
  • Modify or create derivative works based on Night Agent
  • Remove, disable, bypass, alter, or circumvent licensing, activation, security, or technical protection mechanisms
  • Share a license key outside the organization to which the license was issued
  • Repeatedly obtain trials or use technical means intended to avoid trial restrictions
  • Use Night Agent to access, administer, modify, or interfere with systems you are not authorized to manage
  • Use Night Agent in violation of applicable law
  • Use Night Agent in a manner intended to damage, disrupt, compromise, or obtain unauthorized access to networks, systems, or devices

Nothing in this section restricts rights that applicable law does not permit us to restrict.

5. Your Responsibilities

Night Agent is a network-administration tool capable of performing privileged operations on production infrastructure.

Depending on the operation you authorize, Night Agent may perform or facilitate actions including:

  • Connecting to firewalls using administrative credentials
  • Collecting device information
  • Creating or retrieving configuration backups
  • Performing pre-upgrade checks
  • Downloading PAN-OS software
  • Installing PAN-OS software
  • Initiating firewall upgrades
  • Rebooting devices
  • Performing operations that may temporarily interrupt network connectivity

You are responsible for determining whether an operation is appropriate for your environment.

Before performing changes using Night Agent, you are responsible for:

  • Having authorization to administer every targeted device
  • Obtaining any required internal approvals
  • Following your organization's change-management procedures
  • Reviewing device selections, upgrade paths, warnings, and pre-flight results
  • Confirming the correct devices and software versions have been selected
  • Reviewing applicable vendor documentation and supported upgrade paths
  • Maintaining independent and current configuration backups
  • Maintaining an appropriate rollback and recovery plan
  • Planning for possible outages or failed upgrades
  • Confirming high-availability or redundant systems are operating appropriately where applicable
  • Allowing an appropriate maintenance window
  • Securing the computer or server running Night Agent
  • Securing administrative accounts, credentials, API keys, and authentication information
  • Testing significant changes in a suitable non-production environment where appropriate and reasonably possible

Night Agent does not replace professional judgment, vendor documentation, change-management procedures, or disaster-recovery planning.

6. Authorization of Operations

Night Agent performs operations based on commands, selections, schedules, approvals, or configuration provided by you or your authorized users.

You are responsible for reviewing an intended operation before authorizing it.

Information presented by Night Agent, including:

  • Upgrade paths
  • Compatibility information
  • Pre-flight checks
  • Vulnerability information
  • Device status
  • Recommendations
  • Alerts
  • Warnings

is provided as an operational aid.

You should independently verify information that is important to a production change against applicable vendor documentation and the requirements of your own environment.

7. Backups, Snapshots, and Recovery

Night Agent may include functionality intended to assist with configuration backups, snapshots, pre-flight checks, or recovery preparation.

These features are intended to reduce operational risk, not eliminate it.

You should not rely on Night Agent as your sole backup, disaster-recovery, configuration-management, or business-continuity system.

You are responsible for independently verifying that:

  • Required backups exist
  • Backups are current
  • Backups are complete
  • Backups can be accessed
  • Recovery procedures are documented and usable

CedriXSolutions LLC does not guarantee that a backup, snapshot, rollback operation, or recovery process will prevent or recover from every failure.

8. Third-Party Products and Services

Night Agent interacts with products, software, APIs, websites, and services that CedriXSolutions LLC does not control.

These may include products and services operated by Palo Alto Networks, payment processors, hosting providers, and other third parties.

Third parties may:

  • Change APIs
  • Modify authentication requirements
  • Change software behavior
  • Add or remove features
  • Change upgrade procedures
  • Experience outages
  • Discontinue services
  • Modify documentation
  • Introduce software defects

Such changes may affect Night Agent's functionality.

CedriXSolutions LLC is not responsible for the availability, accuracy, functionality, security, compatibility, or continued operation of third-party products or services.

Your use of third-party products remains governed by your agreements with the applicable third parties.

9. Palo Alto Networks Disclaimer

Palo Alto Networks, PAN-OS, Panorama, and related names and marks are trademarks or registered trademarks of Palo Alto Networks, Inc.

Night Agent is an independent product developed by CedriXSolutions LLC.

CedriXSolutions LLC and Night Agent are not affiliated with, authorized by, endorsed by, sponsored by, or otherwise officially associated with Palo Alto Networks, Inc.

References to Palo Alto Networks products are made solely to describe interoperability, compatibility, or functionality.

10. Software Updates and Compatibility

CedriXSolutions LLC may release updates, patches, fixes, improvements, or new versions of Night Agent.

We do not guarantee that Night Agent will:

  • Maintain compatibility with every historical or future PAN-OS version
  • Support every firewall model indefinitely
  • Support every operating-system version indefinitely
  • Maintain every Night Agent version indefinitely
  • Continue every feature indefinitely

Some Night Agent updates may be required for security, licensing, compatibility, or continued operation.

You are responsible for keeping Night Agent and the computer or server on which it operates reasonably current and secure.

11. Support

Unless a particular license or separate written agreement expressly provides otherwise, support is provided on a reasonable-efforts basis.

We do not guarantee:

  • A particular response time
  • A particular resolution time
  • That every problem can be resolved
  • Continuous support availability
  • Support for obsolete, unsupported, modified, or incompatible environments

Any troubleshooting guidance provided by CedriXSolutions LLC should be reviewed by you before being applied to production infrastructure.

12. No Professional Services Relationship

Unless CedriXSolutions LLC separately agrees in writing to provide professional services, purchasing or using Night Agent does not create a consulting, managed-services, fiduciary, network-management, or similar professional-services relationship between you and CedriXSolutions LLC.

You remain responsible for administration and control of your network environment.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NIGHT AGENT AND ALL RELATED SOFTWARE, INFORMATION, SERVICES, DOCUMENTATION, AND SUPPORT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS.

CEDRIXSOLUTIONS LLC DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING IMPLIED WARRANTIES OF:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • TITLE
  • NON-INFRINGEMENT

WE DO NOT WARRANT THAT:

  • NIGHT AGENT WILL BE ERROR-FREE
  • NIGHT AGENT WILL OPERATE WITHOUT INTERRUPTION
  • NIGHT AGENT WILL IDENTIFY EVERY CONDITION THAT COULD CAUSE AN OPERATION OR UPGRADE TO FAIL
  • PRE-FLIGHT CHECKS WILL IDENTIFY EVERY RISK
  • INFORMATION PROVIDED BY NIGHT AGENT WILL ALWAYS BE COMPLETE OR CURRENT
  • A PARTICULAR PAN-OS VERSION WILL INSTALL SUCCESSFULLY
  • AN UPGRADE WILL COMPLETE WITHOUT SERVICE INTERRUPTION
  • A DEVICE WILL RETURN TO SERVICE AFTER AN UPGRADE OR REBOOT
  • A BACKUP OR SNAPSHOT WILL BE SUFFICIENT TO RECOVER FROM EVERY FAILURE
  • NIGHT AGENT WILL REMAIN COMPATIBLE WITH EVERY THIRD-PARTY PRODUCT OR VERSION
  • SECURITY OR VULNERABILITY INFORMATION WILL IDENTIFY EVERY SECURITY ISSUE

NETWORK SOFTWARE UPGRADES AND CHANGES TO PRODUCTION INFRASTRUCTURE CARRY INHERENT RISK, INCLUDING NETWORK OUTAGES, FAILED UPGRADES, DEVICE FAILURE, CONFIGURATION LOSS, CONNECTIVITY LOSS, AND SERVICE INTERRUPTION.

YOU ACCEPT THESE RISKS WHEN AUTHORIZING NIGHT AGENT TO PERFORM OPERATIONS ON YOUR ENVIRONMENT.

Some jurisdictions do not permit certain warranty exclusions, so some of the exclusions above may not apply to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CEDRIXSOLUTIONS LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO NIGHT AGENT, THE WEBSITE, OR THESE TERMS.

This includes damages resulting from:

  • Loss of profits or revenue
  • Loss of business
  • Business interruption
  • Network downtime
  • Loss of connectivity
  • Loss or corruption of data
  • Loss of configurations
  • Failed firewall upgrades
  • Device unavailability
  • Loss of use
  • Loss of goodwill
  • Cost of replacement services
  • Recovery or remediation costs

This limitation applies regardless of whether the claim arises under contract, tort, negligence, strict liability, statute, or another legal theory, and even if CedriXSolutions LLC has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, CedriXSolutions LLC' total aggregate liability arising out of or relating to Night Agent, the website, these Terms, or related services will not exceed the total amount actually paid by you to CedriXSolutions LLC for Night Agent during the twelve (12) months immediately preceding the event giving rise to the claim.

For a free or trial license for which no amount was paid, CedriXSolutions LLC' aggregate liability will not exceed US $100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

15. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless CedriXSolutions LLC and its owners, officers, employees, contractors, and affiliates from third-party claims, damages, losses, liabilities, costs, and reasonable legal expenses arising out of or relating to:

  • Your unauthorized administration of a device or network
  • Your violation of applicable law
  • Your material violation of these Terms
  • Your misuse of Night Agent
  • Your use of Night Agent to access systems you are not authorized to administer
  • Operations you authorize Night Agent to perform on systems owned or controlled by a third party

This obligation does not apply to the extent a claim results directly from conduct for which liability cannot lawfully be limited or transferred.

16. Security

Night Agent is a privileged administrative application.

You are responsible for implementing reasonable security controls around the computer or server on which Night Agent is installed.

You must take reasonable measures to prevent unauthorized individuals from:

  • Accessing Night Agent
  • Using stored firewall credentials
  • Obtaining your license key
  • Authorizing firewall operations
  • Accessing locally stored backups, reports, logs, or other information

You should promptly revoke or rotate credentials if you believe they have been compromised.

17. Privacy

Your use of Night Agent is also subject to our Privacy Notice, which explains the information Night Agent transmits to CedriXSolutions LLC and how we handle information associated with the website, licensing, purchases, and support.

If future versions of Night Agent materially change the categories of information collected or transmitted, we will update the Privacy Notice as required.

18. Ownership and Intellectual Property

Night Agent, including its software, source code, object code, user interface, design, documentation, trademarks, logos, and related intellectual property, is owned by CedriXSolutions LLC or its licensors and is protected by applicable intellectual-property laws.

Except for the limited license expressly granted under these Terms, no ownership interest in Night Agent is transferred to you.

Firewall configurations, backups, reports, snapshots, logs, and other data originating from your own network environment remain yours.

19. Feedback

If you voluntarily provide suggestions, ideas, feature requests, or other feedback regarding Night Agent, you grant CedriXSolutions LLC the right to use that feedback to improve, develop, market, and operate Night Agent without an obligation to compensate you.

This does not transfer ownership of confidential network information or customer data to CedriXSolutions LLC.

20. Suspension and Termination

You may stop using Night Agent at any time.

CedriXSolutions LLC may suspend or terminate a license if:

  • You materially breach these Terms
  • Required license fees remain unpaid
  • A payment is reversed or determined to be fraudulent
  • You circumvent or attempt to circumvent licensing restrictions
  • Your use creates a material legal or security risk
  • Continued provision of the software would violate applicable law

Where reasonably practicable, we may provide an opportunity to cure a remediable material breach before terminating a paid license.

Upon expiration or termination of your license, you must stop using Night Agent.

Termination does not transfer to CedriXSolutions LLC any firewall configurations, backups, snapshots, reports, logs, or other information stored locally on your machine.

Provisions that by their nature should survive termination, including ownership, warranty disclaimers, limitations of liability, indemnification, and dispute provisions, will survive.

21. Fees, Renewals, Cancellations, and Refunds

Applicable prices, billing periods, renewal terms, cancellation terms, and refund rights will be presented at purchase or in applicable purchase terms.

If a license is sold as an automatically renewing subscription, you authorize the applicable payment processor to charge the payment method associated with your purchase for renewal fees until the subscription is cancelled.

Cancellation normally prevents future renewal charges and does not retroactively cancel the current paid license period unless otherwise stated or required by law.

Nothing in these Terms limits refund or cancellation rights that applicable law requires.

22. Changes to Night Agent

We may modify, improve, replace, suspend, or discontinue features of Night Agent.

We will not intentionally make material changes solely for the purpose of depriving a paid customer of substantially all functionality purchased for the then-current paid license period.

Changes required for security, legal compliance, licensing integrity, third-party compatibility, or continued operation may be implemented when reasonably necessary.

23. Changes to These Terms

We may update these Terms from time to time.

The current version will be posted with its effective date.

If we make material changes that significantly affect existing licensed users, we will provide reasonable notice where practicable or required by applicable law.

Changes will apply prospectively from their effective date.

Continued use of Night Agent after revised Terms become effective constitutes acceptance to the extent permitted by applicable law.

If you do not agree to revised Terms, you must discontinue use when those revised Terms become applicable to you.

24. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-laws principles, except where applicable law requires otherwise.

25. Venue

To the extent permitted by applicable law, legal proceedings arising out of or relating to Night Agent or these Terms must be brought in a state or federal court having jurisdiction in the Florida county where CedriXSolutions LLC maintains its principal place of business.

You and CedriXSolutions LLC consent to the jurisdiction of those courts.

This section does not prevent either party from seeking temporary or injunctive relief in another jurisdiction where reasonably necessary to protect intellectual property, confidential information, systems, or security.

26. Export and Legal Compliance

You agree to use Night Agent in compliance with applicable laws and regulations.

You are responsible for determining whether your use, transfer, or deployment of Night Agent is subject to export-control, sanctions, procurement, cybersecurity, or other regulatory requirements applicable to you or your organization.

27. Force Majeure

CedriXSolutions LLC will not be responsible for delay or failure to perform caused by circumstances beyond our reasonable control, including:

  • Internet or telecommunications failures
  • Cloud-provider outages
  • Third-party service interruptions
  • Natural disasters
  • Government actions
  • Labor disputes
  • Cyberattacks
  • Widespread infrastructure failures
  • Changes to or outages affecting third-party products, services, or APIs

This provision does not excuse payment obligations already due.

28. Entire Agreement

These Terms, together with the applicable Privacy Notice, purchase information, and any separate written agreement expressly entered into by CedriXSolutions LLC, constitute the agreement governing your use of Night Agent.

If CedriXSolutions LLC enters into a separately signed agreement with your organization that expressly conflicts with these Terms, that separately signed agreement controls to the extent of the conflict.

29. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as necessary, and the remaining provisions will remain in effect.

30. No Waiver

A failure by CedriXSolutions LLC to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision later.

31. Assignment

You may not assign or transfer your rights under these Terms without CedriXSolutions LLC' prior written consent.

CedriXSolutions LLC may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of all or substantially all of the business or assets relating to Night Agent.

32. No Third-Party Beneficiaries

Except where expressly stated otherwise, these Terms do not create rights enforceable by any person or entity that is not a party to them.
